Terms of Service

Agreement

These Terms of Service (“Terms”) govern your access to and use of the ThisProp website and application (the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

“ThisProp” refers to ThisProp LLC.

Eligibility and accounts

  • You must be at least 18 years old to use the Service.
  • You are responsible for your account credentials and for activity under your account.
  • If you use the Service on behalf of an organization or workspace, you represent you have authority to bind that entity to these Terms.

Workspaces and collaboration

The Service may let you create or join workspaces and invite other members. Workspace owners/admins control membership and access. You are responsible for ensuring you have permission to upload and share any information you submit.

Your content and uploads

You retain ownership of the content you submit to the Service (“User Content”), including property/deal data and uploaded files. You grant ThisProp a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display User Content solely to operate and improve the Service.

  • You are responsible for the accuracy, legality, and rights to your User Content.
  • You must not upload malicious code, attempt unauthorized access, or interfere with the Service.
  • We may suspend or terminate access if we reasonably believe you violated these Terms or pose a security or legal risk.

Imports, geocoding, and accuracy

Import parsing (including optional PDF processing) and geocoding are provided for convenience. Outputs may contain errors or omissions. You are responsible for reviewing and verifying information before making decisions.

The Service is not legal, tax, accounting, or financial advice. You should consult qualified professionals for advice specific to your situation.

Paid plans, subscriptions, and billing

If you purchase a paid plan, payments are processed by Stripe. By subscribing, you authorize recurring charges until you cancel. Subscription fees are generally non-refundable and we do not provide prorated refunds by default, except where required by law or expressly stated at the time of purchase.

  • Auto-renewal: subscriptions renew automatically unless canceled before the renewal date.
  • Cancellation: you can cancel to stop future renewals. You’ll typically retain access through the current billing period.
  • Taxes: taxes may apply depending on your location and billing details.

Third-party services

The Service relies on third-party services such as Google/Firebase (authentication, database, storage, hosting), Google Maps (geocoding/embeds), Stripe (payments), Resend (email), and optionally Google Document AI (PDF analysis). Your use of those services may be subject to their terms and policies.

Availability and changes

We may change, suspend, or discontinue any part of the Service at any time. We do not guarantee the Service will be uninterrupted or error-free.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service and other users. Upon termination, your right to use the Service ends.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THISPROP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THISPROP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THISPROP’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID THISPROP FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID).

Indemnification

You agree to defend, indemnify, and hold harmless ThisProp from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or violation of these Terms, including your User Content.

Governing law and venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws principles. You and ThisProp agree to submit to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for any dispute arising out of these Terms or the Service.
